End User License Agreement
1. What this covers
Vice Cine Ops is the internal software system that Vice Cine LLC ("Vice Cine"), a Texas limited liability company, uses to run its own business. It is not sold or offered to the public. Access is limited to people Vice Cine authorizes ("Authorized Users"). By using Vice Cine Ops, an Authorized User agrees to these terms.
2. License
Vice Cine grants each Authorized User a limited, revocable, non-exclusive, non-transferable license to use Vice Cine Ops for Vice Cine business purposes only. The license is personal and ends automatically when the person is no longer authorized.
3. What Authorized Users may not do
- Share access credentials with anyone
- Use Vice Cine Ops for anything other than authorized Vice Cine business
- Copy, export, or retain company records outside authorized channels
- Interfere with or attempt to bypass any security or logging control
- Reverse engineer, modify, or create derivative works from Vice Cine Ops, except where the law permits it regardless of this restriction
- Use Vice Cine Ops unlawfully or in violation of anyone's rights
4. Third-party services
Vice Cine Ops connects to third-party services Vice Cine uses to run its business, using accounts and credentials Vice Cine controls. Those services are governed by our agreements with their providers. Vice Cine is not responsible for their availability or performance.
5. Ownership
Vice Cine Ops and everything in it — software, configuration, documentation, and data — belongs to Vice Cine. Nothing here transfers ownership. All rights not expressly granted are reserved.
6. Confidentiality
Information in Vice Cine Ops is confidential business information of Vice Cine. Authorized Users must keep it confidential, use it only as authorized, and not disclose it without written permission. This obligation continues after access ends.
7. Availability
Vice Cine does not guarantee Vice Cine Ops will be available at any given time. We may change, suspend, or discontinue it at any time without notice or liability.
8. No warranty
Vice Cine Ops is provided "as is" and "as available." To the fullest extent permitted by law, Vice Cine disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.
9. Limitation of liability
To the fullest extent permitted by law, Vice Cine is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from this agreement or Vice Cine Ops, under any legal theory.
Where a jurisdiction does not permit these limitations, they apply as far as the law allows.
10. Termination
Vice Cine may suspend or end any Authorized User's access at any time, with or without cause or notice. Sections 3, 5, 6, 8, 9, 11, and 12 survive termination.
11. Governing law
Texas law governs this agreement, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts of Harris County, Texas, and each party consents to their jurisdiction.
12. General
This is the entire agreement about Vice Cine Ops and replaces any earlier understanding on the subject. If any provision is unenforceable, it will be narrowed to the extent needed and the rest stays in effect. A delay in enforcing a right is not a waiver of it. No one other than the parties has rights under this agreement. Authorized Users may not assign it; Vice Cine may. Vice Cine may change these terms at any time, and continued use means acceptance.
